DEFINITIONS
As used in these Terms: (i) “We”, “us”, or “our” refers to WiddyUP, and our website; (ii) “you” or “your” refers to the Referral; (iii) “our website” refers to our properties located at www.WiddyUP.com; (iv) “your website” refers to any websites that you will link to our website; (v) “Program” refers to our Referral Program.
As used in these Terms: (i) “We”, “us”, or “our” refers to WiddyUP, and our website; (ii) “you” or “your” refers to the Referral; (iii) “our website” refers to our properties located at www.WiddyUP.com; (iv) “your website” refers to any websites that you will link to our website; (v) “Program” refers to our Referral Program.
1. OVERVIEW
This Agreement contains the terms and conditions that apply to you as an affiliate in the WiddyUP Referral Program. Please note that throughout this Agreement, “we”, “us”, and “ours” refer to WiddyUP, and “you”, “your”, and “yours” refer to the affiliate.
2. WiddyUP RIGHTS AND OBLIGATIONS
2.1 We have the right to monitor your site at any time to determine whether you are following the terms and conditions of the Program. We will notify you if we feel that you need to make any changes to your site or social media that links to or endorses WiddyUP. We will also notify you to ensure that your links to our website are appropriate and let you know if we feel any changes should be made. If suggested changes are not made, we reserve the right to terminate this agreement and your participation in WiddyUP’s Referral Program.
2.2 WiddyUP reserves all rights to terminate this program and your affiliation with WiddyUP at any time and without notice should we feel that your WiddyUP Referral Programs marketing efforts involve fraud or abuse. WiddyUP will not be liable to you for any commission for fraudulent sales and you agree to reimburse WiddyUp for any commissions paid to you resulting from fraudulent sales.
- The program may be suspended or terminated for any of the following reasons: Inappropriate advertisements (false claims, misleading hyperlinks, etc.).
- Spamming (mass email, mass newsgroup posting, etc.).
- Advertising on sites containing or promoting illegal activities.
- Offering rebates, coupons, or other forms of promised kick-backs from your
affiliate commission as an incentive. - Self-referrals, fraudulent transactions, suspected Referral fraud.
- Keyword bidding
3. PAYMENT TERMS & SCHEDULE
- The Referral will receive a $200 commission on all fundraisers that spend at least $1.
- WiddyUP will contribute $250 towards each fundraiser the affiliate refers that spends at least $1.
- The Referral will receive your commission in accordance with the terms of the Referral Rock Program Agreement (provide link).
- Affiliate shall be responsible for any taxes levied on Referral Fee amounts paid hereunder, excluding any taxes on the income of WiddyUP.
- WiddyUP reserves the right to adjust payments, including retroactively, for purchases deemed by WiddyUP in its sole discretion to have resulted from fraud, manipulation, or misuse of Codes, automated means, or other unauthorized activity.
4. AFFILIATE CODES
- WiddyUP will provide Referral Source in writing (email or other digital communication to suffice) with URLs, offer codes, or other similar tracking mechanisms for use in connection with its activities hereunder (each, a “Referral Code”) and instructions for use of the same. Referral Source will not use, or cause or permit the use of, Affiliate Codes other than in accordance with WiddyUP’s instructions.
- WiddyUP reserves the right, in its sole discretion, for any reason or for no reason, to cancel, deactivate, refuse to honor, or otherwise invalidate (each, “Cancel”) any Referral Code (e.g., if an Referral Code is posted on a coupon site).
- In WiddyUP’s sole discretion, certain Referral Codes may only be used via private channels (e.g., not via publicly facing pages, sites, profiles, etc.), in which event Referral Source may only distribute same via direct message, text, email blast, or in-
person events.
5. PPC GUIDELINES
If you are enrolled in our Program and participate in PPC advertising, you must adhere to our PPC guidelines as follows:
- You may not bid on any of our branded terms (which are identified below), including any variations or misspellings thereof for search or content-based campaigns on Google, Bing MSN, Yahoo, Facebook or any other network. Branded terms include: "WiddyUP", "WiddyUP Fundraising", "WiddyUP Fundraiser".
- You may not use our branded terms in sequence with any other keyword (i.e. WiddyUP promo code).
- You may not use our branded terms in your ad title, ad copy, display name or as the display URL.
- You may not direct link to our website from any Pay Per Click ad or use redirects that yield the same result. Referral links must be directed to an actual page on your website.
- You may not bid in any manner appearing higher than WiddyUP for any search term in positions 1-5 in any auction-style pay-per-click advertising program.
- If you automate your PPC campaigns, it is your responsibility to exclude our branded terms from your program and we strongly suggest you add our branded terms as negative keywords. We have a strict no-tolerance policy on PPC branded terms bidding. You will
forfeit all commissions for a minimum of the past 30 days and your commission will be set to 0% without warning if you engage in PPC trademark bidding that uses our branded terms.

6. FTC DISCLOSURE REQUIREMENTS
You shall include a disclosure statement within any and all pages, blog/posts, or social media posts where affiliate links for our affiliate program are posted as an endorsement or review, and where it is not clear that the link is a paid advertisement. This disclosure statement
should be clear and concise, stating that we are compensating you for your review or endorsement. If you received the product for free from us or from the affiliate management team for review, this also must be clearly stated in your disclosure.
6. FTC DISCLOSURE REQUIREMENTS
You shall include a disclosure statement within any and all pages, blog/posts, or social media posts where affiliate links for our affiliate program are posted as an endorsement or review, and where it is not clear that the link is a paid advertisement. This disclosure statement
should be clear and concise, stating that we are compensating you for your review or endorsement. If you received the product for free from us or from the affiliate management team for review, this also must be clearly stated in your disclosure.
- Disclosures must be made as close as possible to the claims.
- Disclosures should be placed above the fold; scrolling should not be necessary to find the disclosure. (e.g. Disclosure should be visible before the jump).
- Pop-up disclosures are prohibited
7. INTELLECTUAL PROPERTY
We retain all rights, title, ownership, and interest in our intellectual property, including any and all copyright, trademark, or other proprietary rights therein. Nothing in this agreement shall be construed to grant you any right, title or ownership in our intellectual property.
8. CONFIDENTIALITY
Any information that you are exposed to by virtue of your participation in the Program, which information is not available to the general public, shall be considered to be "Confidential Information." You may not disclose any Confidential Information to any person or entity, except where compelled by law, unless you obtain our prior written consent for such disclosure. You shall not use any Confidential Information except to the extent necessary to fulfill the purposes of this agreement.
9. TAXES
Affiliate shall be responsible for any taxes levied on Referral Fee amounts paid hereunder, excluding any taxes on the income of WiddyUP. WiddyUP reserves the right to adjust payments, including retroactively, for purchases deemed by WiddyUP in its sole discretion to have resulted from fraud, manipulation, or misuse of Codes, automated means, or other unauthorized activity.
